2. Definitions

"Services" means all products and services provided by me, including:

• Hosting Services: VPS hosting, web hosting, domain registration, SSL certificates, server management, and related services.
• AI Services: AI AI agents, AI automation services, chatbots, web design services, and related services.

"Client" or "you" means the person or entity using my Services.

"Account" means your registered account with me.

"Content" means any data, information, or materials you submit to or through my Services.

3. Account Registration & Security

• You must provide accurate, current, and complete information when creating an Account.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities under your Account.
• Notify me immediately of any unauthorised use of your Account.
• I reserve the right to refuse service or close accounts at my discretion where there is a reasonable belief of breach of these Terms or applicable law.
• You must be at least 18 years old to open an Account.

4. Hosting Services — Specific Terms

• Service Delivery: Hosting services are provided on a subscription basis. Specifications are as described on trenchmonkeyz.com at the time of order.
• Acceptable Use: You agree not to use my hosting services for any illegal activity, spam, malware, copyright infringement, or activity that causes network disruption.
• Resource Usage: Shared hosting plans are subject to fair usage limits. Excessive resource consumption may result in service suspension after notification.
• Backups: While I perform routine backups, you are responsible for maintaining your own backups. I do not guarantee backup availability or completeness.
• Domain Registration: Subject to registry terms. Domain renewals are your responsibility. I am not liable for expired domains.
• SSL Certificates: Provided "as-is"; issuance is subject to certificate authority validation.

5. AI Services — Specific Terms AI

5.1 No Guarantee of Output Accuracy. AI Services are provided "as-is" and "as-available." I make no guarantees regarding the accuracy, completeness, reliability, or suitability of AI-generated outputs. Outputs may contain errors, omissions, or inaccuracies. AI

5.2 Not Professional Advice. AI-generated outputs do not constitute legal, financial, medical, or other professional advice. Independently verify any AI-generated output before acting on it. AI

5.3 Output Variability. AI models may be updated, modified, or improved over time. Outputs from the same input may vary between model versions. AI

5.4 Right to Human Review. Where AI Services automate decisions that produce legal effects or similarly significant effects concerning you, you have the right to request human intervention and review. AI (EU AI Act Art. 14)

5.5 Liability Limitation for AI Outputs. To the maximum extent permitted by law, I disclaim all liability for any loss, damage, or claim arising from AI-generated outputs. You assume full responsibility for your use of such outputs. AI

5.6 Acceptable Use of AI Services. You agree not to:

• Use AI Services to generate harmful, abusive, discriminatory, or illegal content;
• Attempt to reverse-engineer or misuse underlying AI models;
• Use AI Services in high-risk domains (healthcare, critical infrastructure, law enforcement) without prior written agreement;
• Input data you do not have the legal right to process.

6. Fees & Payments

• All fees are as stated at the time of order, exclusive of applicable taxes (including VAT).
• Hosting Services are billed on a recurring basis (monthly, quarterly, or annually).
• AI Services may be billed on a project basis, subscription basis, or as otherwise agreed in writing.
• Payments are due at the start of each billing period. Late payments may result in service suspension.
• Fees are non-refundable except as expressly stated or as required by Irish consumer law.
• I may change fees with 30 days' notice; continued use constitutes acceptance.

7. Intellectual Property

• My IP: All rights in my Services, software, platforms, documentation, AI models, and branding remain ours or my licensors'.
• Your Content: You retain all rights in Content you submit.
• AI Service Data: AI You retain ownership of all input data you provide to AI Services.
• Licence to Us: You grant me a limited licence to process your Content solely to provide my Services.
• Feedback: Suggestions or feedback you provide may be used by me without obligation to you.

8. Data Processing & Privacy

• My Privacy Policy explains how I collect, use, and protect your data.
• A Data Processing Agreement (DPA) is available on request for processing personal data on your behalf.
• Both parties shall comply with the GDPR and applicable Irish data protection law.
• AI Your data may be processed using third-party AI model providers with appropriate safeguards in place.

9. Confidentiality

• Each party agrees to keep confidential any non-public information disclosed in connection with these Terms.
• Confidential information may be disclosed where required by law.
• This obligation survives termination for 3 years.

10. Service Level & Support

• Hosting Services: I aim for 99.9% network uptime. Credits may be available under the relevant SLA.
• AI Services: AI No specific uptime guarantee unless otherwise agreed in writing.
• Support is provided through my ticketing system with response times based on support plan and severity.
• Scheduled maintenance will be notified in advance where reasonably practicable.

11. Limitation of Liability

• Nothing limits liability for death or personal injury, fraud, or any liability that cannot be lawfully excluded.
• To the maximum extent permitted, I exclude all implied warranties.
• My total aggregate liability shall not exceed the fees paid by you in the 12 months preceding the claim.
• I am not liable for indirect, consequential, or incidental damages, loss of profits, data, or business opportunity, or any loss arising from AI-generated outputs. AI

12. Indemnification

You agree to indemnify me from claims arising from: (a) your use of Services in violation of these Terms; (b) your Content infringing third-party rights; (c) your violation of applicable law.

13. Termination

• Either party may terminate on 30 days' written notice.
• I may suspend or terminate your Account immediately for breach, violation of Acceptable Use Policy, or overdue payment exceeding 14 days.
• Upon termination, you must pay all outstanding fees.
• I will provide your data upon request within 30 days, subject to payment of outstanding fees.

14. Dispute Resolution & Governing Law

• These Terms are governed by the laws of Ireland.
• Disputes shall first be attempted through informal negotiation, then submitted to Irish courts.
• Nothing prevents you from lodging a complaint with the Irish Data Protection Commission or any EU supervisory authority.

15. AI-Specific Transparency Disclosures AI

• AI-Generated Content Labelling: AI-generated content provided directly to end users will be labelled as such where required by the EU AI Act.
• Training Data: Where I use your data to train or improve AI models, I will notify you in advance and provide an opt-out mechanism. Data will be anonymised where reasonably practicable.
• AI Model Information: Upon reasonable request, I will provide information about AI model capabilities, limitations, intended purpose, and known risks.
• Transparency Register: I maintain an internal register of AI systems in accordance with the EU AI Act.

16. General Provisions

• Entire Agreement: These Terms, my Privacy Policy, and any applicable DPA constitute the entire agreement.
• Amendments: Material changes will be notified with 30 days' notice; continued use after changes take effect constitutes acceptance.
• Severability: Invalid provisions do not affect remaining terms.
• No Waiver: Failure to enforce does not waive a provision.
• Assignment: You may not assign without my written consent.
• Force Majeure: Neither party is liable for events beyond reasonable control.
